These Terms ofService ("Terms") govern your use of the mobile wallet and relatedservices provided by React Wallet Technology Limited ("we", "us","our", "Company"), a company registered in the DubaiInternational Financial Centre (DIFC), with registered office at UnitIH-00-01-01-OF-01, Level 1, IH-00-01-CP-05, Dubai International FinancialCentre, Dubai, UAE. By downloading, registering for or using our mobile wallet,website, APIs and other products (collectively, the "Services") youagree to be bound by these Terms.
PLEASE READTHESE TERMS CAREFULLY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THESERVICES.
Summary highlights
● Our consumermobile wallet is primarily non-custodial: you control private keys and areresponsible for safekeeping them. We do not hold or custody crypto assetsunless otherwise expressly stated in a specific feature and agreement.
● The Services allow you to connect to andinteract with third-party centralized exchanges and other services. Those thirdparties may custody funds, operate under their own terms and regulatory regimes, and may require you to complete KYC/verification.
● Use of certainfeatures (including fiat on/off ramps, higher limits and Exchange Integrations)require identity verification (KYC) and are subject to AML/CFT, sanctions andother regulatory screenings. By submitting information you consent toverification, screening and to sharing your information with third parties andregulators as described below.
○ "You"or "User": any individual or entity using the Services.
○ "Account": the registration record wemaintain for you in connection with the Services.
○ "KYC": know-your-customer, identityverification and related AML/CFT checks.
○ "ExchangeIntegration": any feature enabling connection, interaction, or transactionrouting between your Account and a third-party centralized exchange("Exchange"), including via OAuth, API keys, or other connectivitymethods.
2.1. Regulatory status. We operate as a DIFC-registered company.Certain activities in the DIFC (and UAE) require authorization or licensing bythe Dubai Financial Services Authority (DFSA) or other UAE/DIFC regulators.Unless we expressly state in writing that a particular Service is a regulatedfinancial service and that we are authorized to provide it, we are notproviding DFSA-regulated services. You must not assume that Services accessiblethrough the app are regulated or covered by investor protections afforded toregulated activities.
2.2. Compliance obligation. We will comply with applicableDIFC laws and regulations, DFSA rules where applicable, and relevant UAEfederal AML/CTF, sanctions and other legal requirements in the performance ofthe Services.
3.1. Non‑custodial wallet. Unless we explicitly state otherwisein writing for a specific feature, the Services operate on a non‑custodial basis: you (or any custodian you choose) control private keys, seed phrases,passwords and other credentials that secure your crypto assets. We do not hold,custody, manage or control your crypto assets.
3.2. Exchangecustody and separate terms. Certain Services permit you to connect tothird‑party Exchanges. Those Exchanges may custody assets, maintain accountbalances, and process deposits/withdrawals under their own custody arrangementsand terms. Assets held by or through an Exchange are not held by us and aresubject to the Exchange’s terms, conditions and protections (or lack thereof).
3.3. No guarantee of regulated coverage. If a Serviceconnects to or facilitates an interaction with an Exchange that is regulated ina jurisdiction, such regulation applies to that Exchange (not to the Company,unless we explicitly state otherwise and show evidence of authorization).
4.1. Eligibility. You must be legally capable of entering intobinding contracts and meet any applicable age and jurisdictional requirements.You may not use the Services where prohibited by local law or where we haverestricted access.
4.2.Registration. To create an Account you must provide accurate, complete andcurrent information as requested and keep it updated.
4.3. MandatoryKYC for certain Services. Access to certain features (including ExchangeIntegrations, fiat on/off ramps) requires successful KYC/identity verification.KYC may require submission of government-issued identification,selfies/biometrics, proof of address, source-of-funds documentation and anyother information reasonably requested by us, our service providers orregulators.
4.4. Consent to checks and sharing. By providing KYCinformation you expressly consent to:
● Identity,sanctions/PEP/screening, AML/CFT and other verification checks by us and ourservice providers; and
● The sharing of your personal data anddocumentation with Exchanges, identity verification providers, sanctionsscreening providers, payment processors, banks, regulators and law enforcementas required to provide the Services and to comply with legal obligations.
4.5. Automated decision-making and risk scoring. KYC and riskassessments may include automated decision-making and scoring. Where requiredby applicable law we will provide information about such processing and,subject to applicable exemptions, allow you to request human review.
4.6. Failure to verify. If you fail to provide required KYCinformation, or if verification fails or raises concerns, we may restrict,suspend or close your Account, cancel or refuse transactions, reject Exchangeconnections, and/or report suspicious activity to regulators or law enforcementas required by law.
5.1. Exchange Integrations. The Services may enable you toconnect to third‑party Exchanges for trading, deposits, withdrawals, portfolioaggregation or other functionality. Integrations may be implemented by APIkeys, OAuth/delegated access, or other mechanisms.
5.2. YourExchange account. To use an Exchange Integration you will often need an accountdirectly with the Exchange. You agree to the Exchange’s terms and areresponsible for maintaining that account and complying with its rules.
5.3.Credentials and permissions. By providing API keys, OAuth tokens or othercredentials you represent you have the right to provide them and are permittedto do so under the Exchange’s terms. You are responsible for the permissionsattached to any API key (including withdrawal permissions); consider using keyswithout withdrawal permissions where appropriate.
5.4. Storageand protection of credentials. We may store API keys or delegation tokens inencrypted form and take commercially reasonable measures to protect them, asdescribed in our Privacy Policy. However, absolute security cannot beguaranteed; you accept the risk of unauthorized access where credentials arecompromised.
5.5. Third‑party terms and risks. Exchange balances, fees,order execution, custody, insolvency risk and customer protections depend onthe Exchange. We are not responsible for Exchange conduct, insolvency, outagesor other failures. Claims arising from an Exchange’s acts or omissions shouldbe pursued against that Exchange under its terms and applicable law.
6.1. Blockchain finality. Transactions you authorize on publicblockchains are generally irreversible. You are responsible for ensuringcorrectness of addresses, amounts and transaction parameters.
6.2. Exchange settlement. When interacting through ExchangeIntegrations, settlement timing, reconciliations and treatment ofdeposits/withdrawals depend on the Exchange and underlying networks; we do notcontrol or guarantee settlement times.
7.1. Fees. We may charge fees for Services. Network (gas) fees,Exchange fees and payment processor fees are your responsibility. Fee scheduleswill be posted in the app or on our website.
7.2. Changes. We may change fees; updated fees will beposted in the app or on our website. Continued use constitutes acceptance ofrevised fees.
8.1. Compliance. Wemaintain controls to comply with applicable AML/CFT legislation, sanctions lawsand related regulatory obligations in the DIFC, Dubai, UAE and other applicablejurisdictions.
9.1. Data protection compliance. We will process personal datain accordance with our Privacy Policy and applicable DIFC data protection lawsand regulations. Where required by DIFC data protection law or other applicablelaw, we will put in place appropriate safeguards for cross‑border transfers ofpersonal data.
9.2. Yourrights. Subject to applicable laws and exemptions (including for AML/CFT andregulatory obligations), you may have rights to access, correct, port, restrictor delete your personal data; contact details for exercising such rights are inour Privacy Policy.
9.3. DPO and contact. For privacy matters contact our DataProtection Officer at media@reactwallet.io. You may also contact the DIFC Data Protection Office or other relevant authorities concerning data protection inthe DIFC.
10.1. Lawful use only. You must use the Services only for lawfulpurposes and in compliance with these Terms.
10.2. Prohibited activities. You must not use the Servicesto:
(a) engage in money laundering, terrorist financing or other illegalactivity;
(b) evade sanctions or export controls;
(c) submit false ormisleading KYC/data;
(d) attempt to access others’ accounts;
(e) disrupt or attackthe Services or third‑party systems; or
(f) otherwise abuse the Services.
11.1. Our rights. We and our licensors retain all rights, titleand interest in the Services, trademarks, software and content. You are granteda limited, non‑exclusive, non‑transferable license to use the Servicesconsistent with these Terms.
11.2. Your content. You retain rights to content yousubmit. By submitting content you grant us a worldwide, royalty‑free,sublicensable, transferable license to use, reproduce, modify and display suchcontent as necessary to provide the Services.
12.1. Crypto risk. Cryptocurrencies and digital assets arevolatile and may result in substantial or total loss.
12.2. Noinvestment, tax or legal advice. Information provided is for informationalpurposes only and does not constitute investment, tax, legal or financialadvice.
12.3. No warranty. THE SERVICES ARE PROVIDED "ASIS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLELAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OFMERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON‑INFRINGEMENT.
You agree to indemnify, defend and hold harmless React Wallet Technology Limited and its affiliates, officers, directors, employees and agents from and against any claim, loss, liability, damage or expense (including reasonable legal fees) arising out of:
(a) your breach of these Terms;
(b) your violation of law;
(c) your use of the Services; or
(d) your negligence or willful misconduct.
14.1. No indirectdamages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BELIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVEDAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA OR OPPORTUNITIES.
14.2. Aggregate cap. TO THE MAXIMUM EXTENT PERMITTED BYAPPLICABLE LAW, OUR AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMSSHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHSPRECEDING THE EVENT GIVING RISE TO LIABILITY. IF YOU HAVE PAID NO FEES, OURAGGREGATE LIABILITY IS LIMITED TO USD 100 (OR EQUIVALENT), UNLESS APPLICABLELAW REQUIRES A HIGHER AMOUNT.
14.3. Non‑excludable liabilities. Nothing in these Termsexcludes or limits liability that cannot be excluded or limited by applicablelaw (including for gross negligence, wilful misconduct, or death/personalinjury where applicable).
15.1. Complaints. If you have a complaint about the Servicesplease contact us at media@reactwallet.io describing the issue. We will seek toacknowledge receipt promptly and to resolve complaints in accordance with ourinternal procedures.
15.2. Escalation. If you are not satisfied with ourresponse you may escalate the matter by following our published escalationpolicy. Subject to the requirements of applicable law and the Company’sregulatory status in respect of a particular Service, disputes may be referredto the DIFC Courts in accordance with the Governing Law and Dispute Resolutionclause below.
16.1. Right to suspend/terminate. We may suspend, restrict orterminate your Account or access to the Services at any time for reasonsincluding suspected illegal activity, sanctions issues, failure to providerequired KYC, breach of these Terms, regulatory request, or where necessary tocomply with applicable law.
16.2. Effect of termination. Provisions that by theirnature should survive will survive termination (including Sections 2, 3.4–3.6, 5, 7–9, 11–14 and 17–20).
We may modify, update or discontinue the Services or these Terms at any time. Material changes to these Terms will be posted in the app and on our website and/or communicated by email. Continued use after posted changes constitutes acceptance of the revised Terms.
You consent to receiving communications electronically (in‑app, email or other). Notices we provide are effective when sent.
19.1. Governing law. These Terms and any dispute arising out ofor in connection with them shall be governed by and construed in accordancewith the laws of the Dubai International Financial Centre (DIFC).
19.2. Jurisdiction. Subject to any mandatory regulatoryprovisions, the courts of the DIFC shall have exclusive jurisdiction to settleany dispute or claim arising out of or in connection with these Terms. To theextent permitted by applicable law, you and we each consent to such exclusivejurisdiction.
We will not be liable for failure to perform caused by events beyond reasonable control, including natural disasters, government actions, network or blockchain failures, internet outages, strikes, or failures of Exchanges or other third parties.
21.1.Severability. If any provision is found invalid or unenforceable, the remainingprovisions will remain in force.
21.2. Entire agreement. These Terms, togetherwith our Privacy Policy and any other documents incorporated herein, constitutethe entire agreement between you and us regarding the Services.
21.3.Assignment. We may assign our rights and obligations under these Terms to anaffiliate or successor. You may not assign your rights without our priorwritten consent.
